Scope of Application

These General Terms and Conditions (GTC) form the basis of all contracts concluded with Commkey Kommunikationsberatung GmbH, as well as offers made by the company, in addition to the specific conditions of the order confirmation. Unless otherwise agreed, these GTC shall apply.

Confidentiality

Each contractual partner assures the other to treat all business secrets disclosed in connection with the contract and its execution as confidential and not to make them accessible to third parties, unless the information is already publicly known, was previously known to the recipient without confidentiality obligations, has been provided by a third party without confidentiality obligations, has been independently developed by the recipient, or must be disclosed due to a legally binding administrative or judicial decision. Subcontractors associated with Commkey Kommunikationsberatung GmbH are not considered third parties if they are bound by confidentiality obligations corresponding to this clause.

 

Open Courses and Seminars

Scope of Services: 

Commkey Kommunikationsberatung GmbH organizes open events (courses, seminars, etc.) and in-house seminars as described on its website www.commkey.at. Unless otherwise agreed in the registration/order confirmation, the prices listed in the course/seminar descriptions, on the website, or in the offer apply, plus 20% VAT. Prices for open events are per person, while corporate clients receive an offer with the corresponding daily rates.
Prepaid services must be consumed within one year. After the one-year price guarantee period, the rates will adjust to the current prices.

Contract Validity

  • A legally binding contract with Commkey Kommunikationsberatung GmbH requires:

  • Meeting the admission requirements described in the course description.

  • Submission of a completed registration form containing required data (e.g., name, address, email).

  • Acceptance of the GTC by registering for an event or placing an order.

  • Receipt of an order confirmation from Commkey Kommunikationsberatung GmbH via email.

 

Participants can designate a suitable replacement up to the event's start. The number of participants is limited for quality reasons, and admission is on a first-come, first-served basis. If the minimum number of participants is not reached by the start date, Commkey Kommunikationsberatung GmbH may withdraw from the contract or propose a later alternative date.

 

Cancellation Rights for Distance Contracts

Customers may withdraw from a distance contract or an off-premises contract within 14 days without giving a reason by submitting a withdrawal notice in writing (e.g., by letter, fax, or email). The notice must be sent to Commkey Kommunikationsberatung GmbH, Doktorberg 14/4, 2391 Kaltenleutgeben, or office@commkey.at. Any payments already made will be refunded within 14 days of receiving the notice, with no additional charges applied.

 

Course Organization

Commkey Kommunikationsberatung GmbH reserves the right to cancel courses or seminars due to organizational or commercial reasons, propose alternative dates, and change the trainer team. In the event of a complete cancellation, participants will be refunded the full participation fee. Participants will be informed of any changes verbally or in writing. No further claims can be derived from such changes.

 

Copyright and Intellectual Property Rights

All verbal and written statements remain the intellectual property of their authors and may only be used by the client/participants within the scope of the assignment.
All rights to the event materials remain with Commkey Kommunikationsberatung GmbH. These materials may not be reproduced, scanned, electronically stored, duplicated, distributed, or used for public presentations.

 

Attendance Requirements

Unless otherwise specified, a minimum attendance of 90% of the scheduled teaching units is required for successful course completion. Otherwise, no certificate of completion will be issued. Missed parts of courses due to circumstances beyond one’s control can be made up later within one year, subject to availability, and at no extra cost. However, there is no legal claim to a make-up session.

 

Payment Terms

Invoices are sent electronically to the email address provided by the customer or, upon explicit request, by post. The agreed fee is payable immediately upon receipt of the invoice. Cash payments are not accepted.

 

Default Interest

For late payment, default interest is charged at 4% for consumers and 8% above the base rate for businesses. A debtor enters default no later than 30 days after the due date and receipt of an invoice. Reminder and Collection Fees After an unsuccessful reminder, Commkey Kommunikationsberatung GmbH may engage collection agencies or lawyers. The customer is obliged to bear the necessary collection costs as per legal regulations.

Cancellation Policy for Private Individuals

Up to 30 days before the event: €50 processing fee.
Within 30 days of the event: Full amount is payable unless a replacement participant meeting the course requirements is provided.
After the course begins: Full invoice amount is due.

Liability

Completion of a course does not guarantee participants’ economic success. Skills acquired do not replace professional certifications required for certain occupations. No liability is assumed for damages arising from the application of the acquired knowledge. Participation is at the participant's own risk. Participants are responsible for damages caused by them. Commkey Kommunikationsberatung GmbH is not liable for personal equipment or valuables of participants.

 

Jurisdiction

For disputes with consumers, the jurisdiction specified in the registration form applies. For disputes with businesses, the exclusive jurisdiction is the competent court in Mödling, Austria. Austrian law applies to all legal transactions.

 

Coaching

Payment and Cancellation Coaching sessions can be paid either in advance or upon receipt of an invoice, depending on the agreement. Payment is due within 14 days of receiving the invoice. Coaching sessions can be canceled free of charge up to 2 business days before the scheduled date. After that, 100% of the fee for missed sessions will be charged. Since coaching does not offer fixed solution concepts, neither Commkey Kommunikationsberatung GmbH nor the coaches assume liability for any actions resulting from coaching. Coaching is considered a service agreement, not a work contract. Confidentiality Coaches and all persons involved with Commkey Kommunikationsberatung GmbH are committed to maintaining absolute discretion about the identities of coachees and the content of coaching sessions. This confidentiality extends even when a company has commissioned the coaching.

 

In-House Seminars

Confirmation and Invoicing

Corporate contracts become legally binding upon acceptance of the written offer. Invoices are issued after the service has been provided. A scheduled date may be rescheduled once, up to 30 days before the agreed date, free of charge, and within the following 3 months. Further rescheduling incurs full invoicing, which must be paid in full.

 

Trainer Team and Costs

Changes in the assigned trainer(s) will be communicated to the client promptly. Any resulting claims are excluded. Accommodation costs for trainers/coaches are borne by the client. Selection and cost of seminar venues are the client’s responsibility. Travel costs are calculated at €1 per kilometer for distances over 50 km from the trainer's residence.

 

Cancellation and Rescheduling Fees

30 days or more before the date: No costs for cancellation or rescheduling.

15–29 days before the date: Cancellation: 60% of the fee.

Rescheduling: 30% of the fee.

 

7–14 days before the date:

Cancellation: 100% of the fee.

Rescheduling: 50% of the fee.

 

Individual coaching sessions can be rescheduled free of charge up to 2 business days in advance. After that, 100% of the fee will be charged.

Contractual Obligations

Consultants, trainers, and coaches are contractually bound to Commkey Kommunikationsberatung GmbH. Clients are not permitted to engage trainers, consultants, or coaches independently for their own projects.

Data Protection Clause

Customers and business partners agree to the storage of their personal data for the purposes of contract processing and participant record-keeping. This data is used to inform participants about Commkey Kommunikationsberatung GmbH events. Consent for the use of data remains valid until revoked. Revocation can be done via email to office@commkey.at. No data is shared with external parties. Payment data is exclusively used for transactions with the bank, credit card company, or tax advisor. All data processing complies with the Telecommunications Act and Data Protection Act.

Force Majeure

Commkey Kommunikationsberatung GmbH is not liable for delays or failures in fulfilling obligations due to force majeure, such as war, terrorism, natural disasters, fire, strikes, lockouts, embargoes, government interventions, power outages, transportation failures, telecommunications or data line failures, legislative changes affecting services after contract conclusion, or other reasons beyond control. Such circumstances do not constitute a breach of contract. Jurisdiction for Disputes For business disputes, the exclusive jurisdiction is the competent court in the district of Mödling, Austria. Austrian law applies to all transactions.
